Effective Date: 1 January 2026. Version: 1.0.
1. Purpose
This Risk Disclosure highlights the principal risks associated with property-related investment opportunities made available through the Developify Platform. It should be read together with the relevant investment memorandum, subscription terms and other property-specific disclosures before an investment decision is made.
2. General investment risk
Property-related investments involve risk. The value of an investment may increase or decrease and an investor may lose some or all of the capital invested. No investment return, rental income, dividend, capital appreciation, liquidity or repayment of capital is guaranteed.
3. Property and income risk
The value and performance of an investment may be affected by changes in property values, market conditions, location, tenant demand, vacancy, tenant default, rental levels, maintenance costs, rates, levies, insurance, taxation and unexpected capital expenditure. Rental income and projected yields are estimates and may differ materially from actual results.
4. Valuation risk
Property valuations and any net asset value or estimated value per share are estimates at a particular point in time and do not guarantee the price at which the property or investment interest can ultimately be sold. Market conditions or property-specific events may result in a material difference between a stated valuation and the amount ultimately realised.
5. Liquidity and exit risk
Property investments should generally be regarded as medium- to long-term investments. There may be no immediate market for an investor's shares or investment interest. Any transfer or exit is subject to applicable law, the relevant SPV documents, buyer eligibility, transfer restrictions and available liquidity. Developify does not guarantee that a willing buyer will be available or that an exit will occur within a particular period.
6. SPV and concentration risk
Where an investment is made through a special purpose vehicle (SPV), the investor holds an interest in that SPV and not direct ownership of the underlying immovable property. An investment linked to a single property may have greater concentration risk because its performance depends substantially on that property and its associated income, costs and liabilities.
7. Regulatory, tax and third-party risk
Changes in law, regulation, taxation or regulatory interpretation may affect the structure, operation, costs or returns of an investment. Investment performance may also be affected by the acts or omissions of third parties such as tenants, property managers, valuers, banks, payment providers, contractors and professional advisers.
8. Forecasts and illustrations
Any forecast, expected yield, projected rental income, illustration or anticipated capital appreciation is based on assumptions and is provided for information purposes only. Past performance and projected performance are not reliable indicators or guarantees of future results.
9. Investor responsibility
Before investing, investors should consider the relevant investment documentation, their financial circumstances, investment objectives, ability to bear loss and investment time horizon. Property-specific risks will be disclosed in the relevant investment documentation and may differ from one opportunity to another.
